Appendix – Formula One

Formula One Betting Addendum
This Formula One Betting Addendum, including Attachment B (“F1 Addendum”) is entered into by and between the Parties and governs Sportradar’s license of the F1 Services (“F1 Data”) to Customer. This F1 Addendum is incorporated into by reference, is governed by, and forms an integral part of the Services Agreement under which Sportradar licenses F1 Data to Customer (the “Agreement”), and will run conterminously with such Agreement. All capitalized terms used but not otherwise defined herein have the meanings ascribed to them in the Agreement.
1. The following words shall have the following meanings:
a. Betting means any form of betting or gambling activity (involving a real money bet or stake) in connection, inter alia, with the outcome of the Championship or any Event(s) or any part of either of them (including by means of fixed odds sports betting, pool betting, pari-mutual betting, lotteries, spread betting, betting exchanges and other direct wagering and gaming). For the avoidance of doubt odds comparison and analysis services for editorial markets, prize competitions, fantasy sport games that do not require a betting license to operate lawfully (including any element of pool betting involved therein) and/or use in connection with games (console, computer, social network or mobile) shall not constitute Betting;
b. Championship means each FIA Formula One World Championship (including any part or aspect thereof) held during the term of this agreement;
c. Event means any motor car race (including any extensions, re-races or continuations thereof) which counts towards each Championship season during the term of this agreement and which for the purposes of this definition shall include qualifying sessions, free practices, and the relevant Formula One Grand Prix race itself;
d. FOML means Formula One Marketing Limited, a company incorporated under the laws of England and Wales with registered number 5731193;
e. FOWC means Formula One World Championship Limited, a company incorporated under the laws of England and Wales with registered number 04174493;
2. Compliance with Applicable Laws; General Requirements for Use.
a. Subject to compliance with all applicable laws (including applicable privacy and confidentiality restrictions), Customer shall use commercially reasonable efforts to cooperate with integrity-related investigations conducted by Interregional Sports Group (the “ISG”), Fédération Internationale de l’Automobile (the “FIA”), and/or any other regulatory or enforcement authority as is required in order to provide any reasonable cooperation to ISG and/or the FIA in respect of any investigation undertaken by ISG and/or the FIA in relation to: (i) an actual or suspected breach of Championship rules; or (ii) any suspicious or unlawful betting activity in respect of the Events or the Championship.
b. Subject to compliance with all applicable laws, Customer shall ensure that its operations include industry standard betting integrity practices (provided that such practices shall never be less adequate than what may be reasonably expected from a bookmaker to protect the integrity of sporting competitions on which they offer betting markets in a legally compliant betting market) and act in accordance with all applicable laws and regulations in order to detect, monitor, report and take appropriate action in respect of suspicious or unlawful betting. Customer shall provide reporting of any relevant information regarding suspicious activity to the FIA. As part of these obligations, Customer shall cooperate with the FIA in connection with the FIA conducting investigations relating to suspicious and/or unlawful betting activity in respect of Championship competitions;
c. Customer agrees that if it fails or refuses to comply with the general obligations stipulated in this Agreement then, following a reasonable period (taking into account the need to protect and prevent any damage to the integrity of the sport to the fullest extent possible), ISG shall have the ability to request that Sportradar suspend the provision of F1 Data to Customer (including on an indefinite basis if required) and such request not to be unreasonably denied (and it will be deemed unreasonable to deny such request if it is reasonably required to protect the integrity of the sport) or otherwise conditioned or delayed.
d. Customer further acknowledges and agrees that:
i. it does not acquire any partnership rights or other rights of association with ISG, FOWC, FOML, F1 or the Championship as a result of this Agreement. Customer shall not engage in any activity (whether promotional or otherwise) which could give the impression to a reasonable observer that they are sponsors of the Championship or any Event;
ii. Sportradar may suspend the delivery of the Services if: (i) Customer is in material breach of the terms of their agreement and where such breach risks the integrity or security of the F1 Data (or any part thereof) or relates to the prohibited use or distribution of the F1 Data (or any part thereof) and/or (ii) if Customer fails to cooperate with the FIA in relation to any investigation relating to an actual or suspected breach of a rule on betting contained within the Championship or any suspicious or unlawful betting activity in respect of Events or the Championship;
iii. it possesses and shall use technological means as are reasonably required to prevent unauthorized access of F1 Data by third parties;
iv. operate industry standard betting integrity practices (provided that such practices shall never be less adequate than what may be reasonably expected to protect the integrity of sporting competitions on which Customer offers betting markets and a legally compliant betting market) and act in accordance with all applicable laws and regulations in order to detect, monitor, report and take appropriate action in respect of suspicious or unlawful betting;
v. Any and all intellectual property rights and related goodwill arising anywhere and anyhow which vest in, derive from or are connected to the F1 Data shall be owned exclusively by FOWC. If any intellectual property rights and/or related goodwill in relation to the F1 Data vest in Customer as a result of your use of the F1 Data Customer hereby assigns immediately on creation with full title guarantee the same to ISG by way of an assignment of current and future intellectual property rights such that the intellectual property becomes the sole and exclusive property of FOWC. Without prejudice to the foregoing, Customer shall at the request of FOWC forthwith execute any documents necessary for such assignment; and
vi. Customer shall promptly report to ISG any actual or suspected unauthorized access of the F1 Data provided. Customer shall take such steps as may be reasonably required in order to prevent third-parties from continuing unauthorized access to the F1 Data and shall provide detailed cause assessment and future incident mitigation plans in respect of such unauthorized access.
