APPENDIX – Key Supply Terms UK Football Leagues (Version: 26 January 2024)
Special Terms and Conditions with regard to the use of the LO/LD Star Soccer and Professional with regard to UK Football Leagues
The following Key Supply Terms are applicable for any use of betting data for the UK Football Leagues
(UK Football Leagues shall comprise the Competitions as stipulated in the Exhibit)
“Agreement” and “Customer” shall have the same meaning as defined in the Services Agreement
“Club” means a football club which participates in any of the Competitions;
“Commercial Basis” means any product, material or service offered substantially for commercial purposes and includes (by way of example and not limitation) any service provided on a subscription basis and any competitions, games (including without limitation console, online and social media games), memorabilia, collectables, clothing, calendars, mugs, posters, fridge magnets, stickers, trading cards and key rings. “Commercial Basis” shall not include betting customers conducting the business of engaging in (or enabling others to engage in) betting transactions in the ordinary course of their business;
“Data” means any and all betting data as part of the Sportradar Services related to UK Football Leagues;
“Excluded Purpose” means any use other than betting purposes. For the avoidance of doubt and by way of example and not limitation the following uses are Excluded Purposes and are not betting transactions: (a) use on a Commercial Basis; (b) use in or in connection with non-betting based fantasy sports games or non-betting based prediction competitions (whether or not participants are required to pay to enter any such games or competitions); (c) use for editorial purposes by non-betting customers including without limitation news reporting, analysis or other discussions of matches; and (d) use in or in connection with any coaching/scouting product, service or tool;
“Match Support Personnel” means any match official (including any referee or other technical official) doctor, physiotherapist or any similarly situated person at a match, in each case, as notified from time to time;
“Participant” means all Players, Related Person or Match Support Personnel;
“Player” means a registered player of a Club;
“Related Person” means any coach, trainer, therapist, physician, management representative, agent, family member, Match guest, business associate or other affiliate, entourage or associate of any Player, or any other person who receives accreditation at a Match at the request of the Player or Related Person, in each case, as notified to Sportradar from time to time;
“Single Club Basis” means any product, material or service based substantially on a single Club and includes (by way of example and not limitation) any commercial product, material or service that is branded or promoted by reference to a single Club and any commercial product, material or service where the content is based substantially on a single Club unless such use has the consent of the applicable Club;
1. The Customer shall not be entitled to assign or transfer any of its rights or obligations under the Agreement.
2. The Customer shall not supply the Data to any third party save to their end users.
3. The Customer shall procure that any service or other material that incorporates the Data shall not contain any statement or other material that (i) incorporates pornographic material; (ii) uses foul language or blasphemy, is libellous, offensive, obscene or otherwise unlawful; and/or (iii) claims or suggests any endorsement, authorisation or approval by FDC, any football club, League, Competition or football player where no such endorsement exists.
4. The Customer shall not reproduce or otherwise use the Data for any Excluded Purpose.
5. The Customer may use the Data on a Single Club Basis provided that it has first obtained written approval from the relevant Club to do so.
6. The Customer shall not replicate or use any trade mark, badge, insignia or logo owner or used by FDC, a Club or a League without the prior written consent of the appropriate owner of such a trade mark, badge, insignia or logo;
7. Sportradar shall be entitled to terminate the supply of the Data to the Customer with effect from midday on the fourteenth (14th) day after receipt of written notice from Sportradar if the Customer is in material or persistent breach of any provision of the Agreement and, where remediable, had failed to remedy such breach(es) within such fourteen (14) day period.
8. The Customer shall ensure that the Data shall not be used to: (a) give undue prominence to any Club or Player; nor (b) used to create or suggest an endorsement or commercial association with any Club, Player, League or League commercial partner unless such an endorsement or commercial association exists.
9. The Customer shall be responsible for obtaining and maintaining all licences, permissions and authorisations which are necessary for the Customer to be entitled to receive and use the Data.
10. The Customer shall not facilitate or offer any form of gambling on any football matches (including, without limitation any friendly matches) which are organised for players who are under 18 years old and being played within England, Wales or Scotland.
11. The Customer shall only use the Data in relation to matches played in the Competitions to offer and settle bets in respect of Matches.
12. The Customer shall use its reasonable endeavours to report to the Football Association or Gambling Commission in Great Britain where the Customer has reason to believe that a Participant is betting on football matches in England, Scotland or Wales.
