MEMORANDUM OF UNDERSTANDING
(hereinafter referred to as “MoU”)

1. TERMS OF THE SPORTRADAR INTEGRITY EXCHANGE

In the overall interest of preserving the integrity in sport, the participation in the Sportradar Integrity Exchange covers the following general points (collectively the “Terms”):

a) A mutual exchange of information for the purpose of identifying and fighting betting-related match-fixing. The Parties will identify contact person(s) for the purposes of this information exchange and other elements of the cooperation. For Sportradar the contact persons are:

The Customer shall inform Sportradar about its contact persons in due time.

b) In the framework of an operational cooperation, a Party notify or request from the other Party information (always in accordance with the Party’s respective mandates/agreements and to the extent permissible by Sportradar’s contractual and confidentiality commitments) on suspicious betting activity pertaining to betting-related match-fixing concerning:

• Irregular or suspicious betting odds movements in a relevant betting market;
• Irregular or suspicious customer activity in a relevant betting market;
• Irregular or unusual trading volumes/turnover in a relevant betting market;
• Other relevant information that may indicate betting-related match-fixing or fraudulent activity.

c) Sportradar will provide Customer specific materials and information in order to assist the understanding of and capacity to tackle betting-related manipulation. In particular, Sportradar will provide the following support in the course of this MoU:

• Reporting:

o Quarterly report containing information regarding suspicious matches and incidents reported by other operators of the Sportradar Integrity Exchange and other suspicious incidents and data, always in accordance with existing mandates/agreements;
o Annual report containing general information on suspicious matches and global match-fixing trends, always in accordance with existing mandates/agreements.

• Education and Training

o Introductory onboarding webinar to introduce contact points and reinforce the terms of the cooperation;
o Annual webinar providing training on sports betting integrity, global match-fixing trends.

d) Any information or analysis provided by Sportradar should not be used by Customer as proof of betting related fraud and as a justification or means to withhold funds to clients or customers.

e) The Parties acknowledge there should be a positive spirit towards the information exchange and any requests made in order to maintain the general framework for the cooperation within the course of this MoU. In particular, Customer will provide best efforts to respond to and meet any formal requests for betting account data made from official sport governing bodies or law enforcement agencies in the course of their mandated investigations into betting-related match-fixing.

2. CONFIDENTIALITY AND INFORMATION HANDLING

(1) Customer acknowledges that parts of the information it provides to Sportradar with regard to suspicious matches and incidents may be used (anonymised as required) as part of Sportradar’s Integrity Services reporting to sport federations, law enforcement agencies and other participating customer of the Sportradar Integrity Exchange. Any named reference to Customer in the course of this reporting will be agreed in writing by the Parties.

(2) Any detailed information and/or documentation provided by a Party in compliance with a request or notification shall encompass restricted access provisions by the other Party and, shall not be disclosed to any third party or otherwise made use of unless mutually agreed by the Parties in writing.

(3) Notwithstanding the aforesaid, Section 8 of the General Terms and Conditions Betting Data shall be fully applicable for this MoU.

3. DATA PROTECTION

It is not envisaged that Customer will be supplying or otherwise make available any personal data (as defined under any applicable data protection laws) concerning Customer’s customers to Sportradar under the MoU.

4. PROMOTIONAL MEASURES AND COORDINATION

The Parties, always in accordance with and with respect for their respective mandates/agreements shall:

a) inform each other on their programmes of potential interest in order to identify possibilities for joint activities and mutual contributions; and
b) conduct consultation meetings upon the initiative of either a Party with the aim of evaluating the cooperation progress and opportunities.

Sportradar shall have the right to use the logo of Customer in marketing material for the Sportradar Integrity Exchange. Any further promotional measures must be agreed by the parties in writing.

5. GENERAL PROVISIONS

(1) Each Party is responsible for its own actions and its own costs associated with this MoU and with the use of the information exchanged.

(2) The Parties do not intend that any agency or partnership relationship be created between them by this MoU and neither Party may bind the other in any way.
